What is CIR?
CIR is the holding company of a leading Italian industrial group. It is controlled by COFIDE (Compagnia Finanziaria De Benedetti), the financial holding company of the De Benedetti family. CIR stands for Compagnie Industriali Riunite.

Sogefi is one of the world’s leading manufacturers in the production of automotive components. The company operates in the sector of filtration, suspension components and air and cooling systems. Sogefi is present on four continents, with 43 production facilities in 21 countries.

What does KOS do?
Founded by CIR in 2002, KOS is one of the main Italian operators in the care-home sector. The company is active in the management of nursing homes (with the ‘Anni Azzurri’ brand), physio and psychiatric rehabilitation centres (through ‘Santo Stefano’ and ‘Redancia’ brands) and operates in oncology treatment, diagnostics, and hospital management (with ‘Medipass’ brand).

The Notice gives the date, time, place and agenda of the Annual General Meeting together with what Shareholders need to do in order to attend.

How many compulsory shareholders’ meetings are there according to the Bylaws of the CIR Group?
The Bylaws of the CIR Group stipulate that there shall be at least one compulsory shareholders’ meeting (Annual General Meeting) within four months of the close of the financial year.

Who can take part in a Shareholders’ meeting?
You can take part in the Annual General Meeting of the Shareholders if you own at least one of the company’s shares. To attend the AGM and exercise your voting rights you must first show a notification by a qualified intermediary, as per the terms of Art. 83-sexies of D.Lgs. no. 58/1998, which issues this based on the information available on the seventh trading day preceding the date fixed for the first call of the AGM. Those who acquire title to shares only after that date do not have the right to attend or vote at the AGM. Those who have the right to vote can appoint a proxy to represent them at the AGM as per the terms of Art. 2372 of the Civil Code and any other rules or regulations applicable. You can use the proxy form attached to the notification issued to the qualified intermediary or else the proxy form on the company’s website www.cirgroup.com in the section Governance. Alternatively, Shareholders can give a proxy, free of charge, to the Representative Designated by the company and specified in the Notice of Meeting, as per the terms of Art. 135-undecies of the TUF. The proxy must be appointed by signing the special form available on the above-mentioned section of the website.

What do you need to show to be allowed into the meeting?
People entitled to attend the meeting have to show a personal identity document, the certificate mentioned in the notice of the meeting and the document which shows that the person concerned has the right to attend either as legal or voluntary representative.

Can small shareholders take an active part in the discussion?
They can ask to speak on the subjects under discussion just once for each topic, making observations and asking for information.
Those who have the right to vote can also put forward proposals if they are related to the items on the agenda.

What is the dematerialization of shares?
The law provides that owners of shares listed on the Italian stock exchange must see that their shares are dematerialized, i.e. they must deposit them with an authorized intermediary who will see that they are put in the centralized management system of Monte Titoli SpA in electronic form.
Ownership of these dematerialized shares and the rights associated with them is attested by the certificate issued by the authorized intermediary with whom the shares have been deposited.
